Welcome to AppSubmit.ai. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AppSubmit, Inc. ("AppSubmit.ai," "we," "us," or "our") governing your access to and use of our website, applications, and related services designed to assist with app submission processes (collectively, the "Services").

By accessing, registering for, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you are prohibited from accessing or using the Services.

We reserve the right to modify or update these Terms at our sole discretion at any time. We will endeavor to provide notice of significant changes (e.g., via email or a notification within the Services), but it is your responsibility to review these Terms periodically. Your continued use of the Services after any modifications indicates your acceptance of the revised Terms.

2. Account Registration and Security

a. Registration: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information promptly to maintain its accuracy.

b. Account Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials (such as username and password) and for all activities that occur under your account.

c. Unauthorized Use: You agree to notify AppSubmit.ai immediately if you suspect or become aware of any unauthorized access to or use of your account or any other breach of security. AppSubmit.ai is not liable for any loss or damage arising from your failure to comply with these security obligations.

3. Use of Services

a. Permitted Use: AppSubmit.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms and solely for the purpose of facilitating your app submission processes to platforms like the Apple App Store and Google Play Store.

b. User Responsibilities: You are solely responsible for all content, data, and information you submit, upload, or manage through the Services ("Your Content"). You represent and warrant that Your Content complies with all applicable laws, regulations, and the current terms, guidelines, and policies of the relevant app stores (e.g., Apple App Store Review Guidelines, Google Play Developer Policies). AppSubmit.ai does not review or endorse Your Content and assumes no liability for it.

c. Prohibited Conduct: You agree not to use the Services to:

  • Upload, submit, or distribute applications or content that violate any applicable laws, regulations, or third-party rights, including intellectual property rights.
  • Transmit viruses, malware, spyware, or any other malicious or harmful code.
  • Breach or attempt to breach the security measures of the Services, or gain unauthorized access to our systems, data, or other users' accounts.
  • Interfere with, disrupt, or negatively affect the operation or performance of the Services or the servers and networks connected to them.
  • Engage in any activity that violates the terms of service or policies of the Apple App Store or Google Play Store.
  • Use the Services for any illegal or unauthorized purpose.

4. Subscription Fees and Payment

a. Paid Services: Access to certain features or levels of the Services may require payment of subscription fees. By selecting a paid subscription plan, you agree to pay all applicable fees as detailed on our pricing page or otherwise communicated to you, along with any applicable taxes.

b. Billing and Renewal: Subscription fees are typically billed in advance on a recurring basis (e.g., monthly or annually) according to the term you select. Your subscription will automatically renew for successive periods equal to the original term unless you cancel it prior to the renewal date.

c. Cancellation: You may cancel your subscription at any time through your account settings within the Services or by contacting our customer support. Cancellation will be effective at the end of the current billing cycle. No refunds or credits will be provided for partial subscription periods unless required by law.

d. Price Changes: AppSubmit.ai reserves the right to change its subscription fees. We will provide you with reasonable prior notice (e.g., at least 14 days) of any price changes, typically via email or a notice on our website, before the changes become effective. Your continued use of the paid Services after a price change constitutes your agreement to pay the modified fee.

5. Intellectual Property Rights

a. AppSubmit.ai Property: The Services, including their underlying technology, software, design, text, graphics, logos, features, functionality, and all related intellectual property rights, are and will remain the exclusive property of AppSubmit, Inc. and its licensors. These are protected by copyright, trademark, patent, trade secret, and other laws of the United States and foreign countries.

b. Your Content: You retain all ownership rights to Your Content. By submitting Your Content through the Services, you grant AppSubmit.ai a limited, worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify (e.g., for technical purposes like formatting), and display Your Content solely to the extent necessary to provide, maintain, and improve the Services for you.

6. Disclaimers and Limitation of Liability

a. Disclaimer of Warranties: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. APPSUBMIT.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

b. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APPSUBMIT, INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF APPSUBMIT.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in San Diego County, California. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
